# UpPromote Terms of Service

These Terms of Service (“Terms”) govern access to and use of the websites, applications, software, platforms, features, and related services provided by **UPPROMOTE TECHNOLOGY JOINT STOCK COMPANY** (“UpPromote”, “we”, “us”, or “our”).

Please read these Terms carefully.

By clicking to accept these Terms where they are presented, creating or using an UpPromote account after being given reasonable notice of these Terms, connecting a supported third-party account, or otherwise using the Services in circumstances where these Terms are made applicable to you, you agree to be bound by these Terms.

If you do not agree to these Terms, you must not use the applicable Services.

These Terms should be read together with the **UpPromote Privacy Policy**, the **User Data Deletion & Social Account Disconnection Policy**, and any additional terms applicable to particular UpPromote products or features.

### 1. Scope of these Terms

These Terms apply to users of UpPromote, including:

* Merchants and businesses using UpPromote to operate affiliate, referral, influencer, or creator marketing programs;
* Affiliates and Creators using UpPromote or participating in services operated through UpPromote;
* Authorized employees, contractors, and representatives of a business account;
* Users who connect a supported third-party or social media account to UpPromote; and
* Other users of UpPromote websites, applications, and services where these Terms are made applicable.

Certain products, features, or services may be subject to additional or supplemental terms, which may include:

* UpPromote Marketplace Terms and Conditions;
* UpPromote Marketplace Terms and Conditions for Merchants;
* UpCreator Terms and Conditions;
* UpPromote Refund Policies;
* Merchant-specific affiliate or creator program terms;
* Data Processing Agreements;
* Order forms, subscription agreements, or enterprise agreements; and
* Other terms presented when a User enables or uses a particular feature.

Where Supplemental Terms conflict with these Terms, the Supplemental Terms control with respect to the specific product, feature, or service they govern.

Terms separately agreed between a Merchant and an Affiliate or Creator govern their relationship to the extent those terms do not purport to impose obligations on UpPromote that UpPromote has not accepted.

### 2. Definitions

For these Terms:

**“Services”** means the UpPromote websites, Shopify application, web applications, Merchant interfaces, Affiliate and Creator interfaces, Marketplace, Creator Discovery and related creator services, tracking and reporting tools, integrations, APIs, supported social account connection functionality, and other products or services made available by UpPromote.

**“Merchant”** means a business or person using UpPromote to create or manage an affiliate, referral, influencer, creator, or similar marketing program.

**“Affiliate” or “Creator”** means a person or entity participating in, applying to, or otherwise interacting with a Merchant program or an UpPromote affiliate- or creator-related service.

**“User”** means an individual or entity accessing or using the Services.

**“Authorized User”** means a person permitted by an account owner or organization to access an UpPromote account on its behalf.

**“User Content”** means information, content, files, text, images, communications, program materials, offers, or other materials lawfully submitted to UpPromote by a User.

**“Third-Party Service”** means an external service, platform, application, network, or technology that interoperates with UpPromote, including ecommerce platforms, payment providers, social media platforms, and other integrations.

**“Supplemental Terms”** means additional terms applying to a particular UpPromote feature, product, program, or commercial arrangement.

### 3. Eligibility and authority

You may use the Services only if you are legally permitted to do so and have the legal capacity, or any consent required under applicable law, to enter into the relevant agreement.

Users of connected third-party accounts must also satisfy the eligibility and account requirements of the relevant Third-Party Service.

If you use UpPromote on behalf of a company, organization, Merchant, or other legal entity, you represent that:

* You have authority to act on behalf of that entity;
* You have authority to accept these Terms on its behalf; and
* The entity agrees to be responsible for use of the Services by its Authorized Users.

You may not use the Services if applicable law prohibits you from doing so.

UpPromote may establish additional eligibility requirements for particular features.

### 4. Accounts and account security

Certain Services require an UpPromote account.

When creating or maintaining an account, you agree to:

* Provide accurate, current, and reasonably complete information;
* Keep account information reasonably up to date;
* Maintain the confidentiality and security of your login credentials;
* Not knowingly allow unauthorized access to your account;
* Promptly notify UpPromote if you become aware of unauthorized access or a security incident affecting your account; and
* Remain responsible for activity carried out through your account or by your Authorized Users, except where applicable law provides otherwise.

You must not impersonate another person or organization or knowingly create an account using information that you do not have the right to use.

UpPromote may request reasonable information to verify an account, business, Creator, social account connection, or other information relevant to security, fraud prevention, or operation of the Services.

### 5. The UpPromote Services

UpPromote provides technology that may enable Users to:

* Create and manage affiliate and referral programs;
* Recruit and manage Affiliates or Creators;
* Track referrals, sales, commissions, and performance;
* Discover or evaluate Creators;
* Facilitate relationships and communications between Merchants, Affiliates, and Creators;
* Connect supported Third-Party Services;
* Import or synchronize authorized profile, account, content, or performance information;
* Analyze performance information; and
* Conduct other affiliate, referral, creator, and partnership marketing activities.

Features and functionality may vary by plan, region, account type, integration, third-party platform, or availability.

UpPromote may modify, improve, replace, restrict, suspend, or discontinue features from time to time.

Where reasonably practicable, UpPromote will provide appropriate notice of material changes that substantially affect a paid Service.

### 6. Merchant programs and relationships between Users

UpPromote provides technology that facilitates relationships between Merchants, Affiliates, and Creators.

Unless UpPromote expressly states otherwise for a specific Service:

* The Merchant determines its program rules, eligibility requirements, commission structure, payment conditions, promotional requirements, content requirements, and collaboration terms;
* The Merchant is responsible for communicating those terms to participating Affiliates or Creators;
* Affiliates and Creators are responsible for reviewing the applicable Merchant program terms before participating;
* The commercial relationship between a Merchant and an Affiliate or Creator is primarily between those parties; and
* UpPromote does not guarantee that a Merchant, Affiliate, or Creator will enter into, continue, or successfully complete a collaboration.

UpPromote may provide tracking, analytics, discovery, recommendations, matching, communication, or reporting tools to support these relationships, but does not guarantee:

* Sales or revenue;
* Commission earnings;
* Merchant or Creator performance;
* Response or acceptance rates;
* Content delivery or content performance;
* Successful recruitment or collaboration; or
* Any particular commercial outcome.

UpPromote is not responsible for independent representations, commitments, promises, or obligations made by one User to another.

Except where UpPromote expressly assumes responsibility for a specific Service, UpPromote is not responsible for disputes between Merchants and Affiliates or Creators concerning program eligibility, acceptance or rejection, content requirements, collaboration terms, commission approval, payment, termination, intellectual property rights, or other obligations arising from their independent relationship.

Any such dispute should primarily be resolved between the relevant Merchant and Affiliate or Creator.

UpPromote may, at its discretion, provide records, technical information, or support reasonably available through the Services to assist Users in understanding a dispute, but doing so does not make UpPromote a party to the underlying Merchant–Affiliate or Merchant–Creator relationship and does not require UpPromote to resolve the dispute.

Nothing in this Section excludes any responsibility that UpPromote expressly assumes for a particular Service or any liability that cannot lawfully be excluded.

### 7. Third-Party Services and connected social accounts

#### 7.1 Connecting a Third-Party Service

UpPromote may allow Users to connect supported Third-Party Services, including supported social media accounts such as Instagram.

The social platforms and account types supported by UpPromote may change over time.

Connecting a social account through OAuth or another third-party authorization method is voluntary unless a particular UpPromote feature or Merchant program requires social identity verification or a connected account.

Where an alternative verification method is available, such as another supported verification process, UpPromote may allow the User to use that method instead.

When you connect a Third-Party Service, you may be redirected to the relevant provider to authenticate and authorize specific permissions.

By completing that authorization, you authorize UpPromote to access, receive, use, store, and process information made available by the Third-Party Service within the permissions you grant and for the purposes disclosed in the Services, these Terms, and the UpPromote Privacy Policy.

Depending on the platform, account type, permissions granted, and features used, information may include:

* Account or user identifiers;
* Username, display name, profile image, biography, profile URL, and account type;
* Public profile information;
* Follower, subscriber, or account statistics;
* Content or media information;
* Content or account performance information or insights;
* Aggregated audience information where made available by the platform and authorized;
* Information necessary to confirm control of the connected account; and
* Technical information relating to the authorization or connection.

UpPromote will not ask you to provide your social media password directly to UpPromote as part of a standard OAuth authorization process.

UpPromote requests permissions that are reasonably necessary to provide the relevant features.

#### 7.2 Current use of connected social accounts

For the social account verification, profile, and analytics features currently described by the Services, UpPromote uses connected-account access to read information authorized by the User.

Unless a future feature clearly states otherwise and obtains any additional authorization required by the relevant platform, UpPromote does not use this connection to publish posts, delete or edit content, send social messages, follow or unfollow accounts, or otherwise act as the User on the connected social platform.

UpPromote does not sell connected-account personal data to data brokers.

#### 7.3 What “connected” or “verified” means

Where UpPromote identifies a social account as “connected”, “verified”, or similar following successful platform authorization, this generally means that the User successfully authenticated with the relevant Third-Party Service and authorized UpPromote to connect to that account.

Unless UpPromote expressly states otherwise, this does not constitute:

* Government-issued identity verification;
* Legal or KYC identity verification;
* Verification of every statement made by the account holder; or
* A guarantee regarding the account holder's business, audience, content, reputation, authenticity, or future performance.

You may only connect a social account that you are authorized to control.

Knowingly connecting an account that you do not control, impersonating another person, or intentionally misrepresenting ownership or social performance may result in suspension or termination.

#### 7.4 Third-party platform terms

Your use of a Third-Party Service remains subject to that provider's own terms, policies, privacy practices, and technical requirements.

UpPromote does not control Third-Party Services and is not responsible for their independent acts or omissions.

UpPromote's use of third-party APIs is also subject to the applicable developer and platform requirements imposed by those providers, including Meta platform requirements where applicable.

#### 7.5 Changes to Third-Party Services

Third-Party Services may change:

* Their APIs;
* Available data or metrics;
* Permission requirements;
* Supported account types;
* Rate limits;
* Authentication requirements; or
* Access to particular features.

A Third-Party Service may also suspend or discontinue functionality.

As a result, UpPromote may modify, limit, suspend, or discontinue an integration or a feature that depends on a Third-Party Service.

UpPromote does not guarantee the continued availability of any particular third-party integration, metric, permission, or feature where availability depends on a third party outside UpPromote's reasonable control.

#### 7.6 Disconnecting an account

You may disconnect a supported Third-Party Service through available UpPromote controls or through the relevant third-party platform.

After the authorization is revoked, UpPromote will stop requesting new information through that authorization as soon as reasonably practicable.

The treatment and deletion of information previously obtained through the connection is described in the **User Data Deletion & Social Account Disconnection Policy**.

Disconnecting a social account does not by itself delete the original social media account or content maintained by the Third-Party Service.

#### 7.7 Information made available to Merchants

Depending on the UpPromote feature being used, a Merchant may be able to see certain information associated with a Creator or Affiliate, including information obtained from an authorized social connection.

This may include:

* Connected or verification status;
* Username and profile image;
* Public profile information;
* Follower or subscriber counts;
* Content samples;
* Engagement or performance metrics; and
* Aggregated audience information where supported and lawfully made available.

Merchants may use this information for purposes related to creator discovery, evaluation, recruitment, affiliate or creator program management, and collaboration.

Merchants are responsible for using information made available through UpPromote in accordance with applicable law, these Terms, and any applicable Supplemental Terms.

If a social connection is removed, UpPromote will stop displaying information that depends on the active connected-account data through applicable UpPromote features once the relevant disconnection or deletion process is completed.

UpPromote cannot control copies that another User lawfully obtained outside the Services before deletion, such as information independently recorded or retained by that User, but that User remains responsible for its own use and retention of personal data under applicable law.

### 8. User Content and data

#### 8.1 Ownership of User Content

As between you and UpPromote, you retain ownership rights in User Content that you lawfully provide to UpPromote.

You grant UpPromote a non-exclusive, worldwide, limited license to host, store, reproduce, process, transmit, display, and otherwise use User Content only as reasonably necessary to:

* Provide and operate the Services;
* Perform actions requested or enabled by you;
* Maintain, secure, troubleshoot, and support the Services;
* Comply with applicable law; and
* Exercise rights expressly described in these Terms or separately agreed with you.

#### 8.2 Your responsibility for User Content

You represent that you have the rights and permissions reasonably necessary to provide User Content to UpPromote and allow its use for the applicable Service.

You must not knowingly submit content that:

* Infringes intellectual property rights;
* Violates privacy or publicity rights;
* Is unlawful or fraudulent;
* Contains malicious code;
* Breaches confidentiality obligations; or
* You are otherwise prohibited from providing.

#### 8.3 Social and third-party data

Information obtained through a connected Third-Party Service will be handled in accordance with:

* The permissions granted by the User;
* Applicable third-party platform requirements;
* The UpPromote Privacy Policy;
* The User Data Deletion & Social Account Disconnection Policy; and
* Applicable data protection law.

### 9. Privacy and data protection

UpPromote's processing of personal data is described in the **UpPromote Privacy Policy**.

UpPromote's legal role may differ depending on the processing activity.

For example, UpPromote may:

* Process certain personal data on behalf of a Merchant or other customer;
* Act as an independent controller for certain processing necessary to operate UpPromote's own platform, accounts, security, compliance, Marketplace, or creator-related services; or
* Act as an independent controller for certain processing associated with a social account that a User personally connects directly to UpPromote, including operating the connection and providing applicable verification or social-data features.

A Merchant or other User that receives or independently uses personal data through the Services may separately act as a controller, business, or other regulated party for its own processing under applicable law.

Nothing in these Terms relieves a User of its own privacy and data protection obligations.

Where required, a Data Processing Agreement or other applicable data-processing terms may supplement these Terms.

Users may exercise applicable privacy rights as described in the UpPromote Privacy Policy and User Data Deletion & Social Account Disconnection Policy.

### 10. Acceptable use

You must not use the Services to:

* Violate applicable law or regulation;
* Commit, facilitate, or encourage fraud;
* Misrepresent identity, account ownership, traffic, sales, commissions, engagement, or performance;
* Generate or facilitate artificial clicks, referrals, orders, commissions, followers, or engagement;
* Knowingly manipulate tracking, attribution, or reporting;
* Access another User's account without authorization;
* Circumvent authentication, security, rate limits, or access controls;
* Introduce malicious code;
* Scrape, harvest, or bulk-extract information except as expressly permitted by UpPromote or applicable law;
* Infringe intellectual property, privacy, publicity, or other rights;
* Harass, threaten, or abuse another person;
* Send unlawful or deceptive marketing communications;
* Resell or redistribute the Services without authorization; or
* Use the Services in a manner that materially breaches applicable Third-Party Service requirements.

UpPromote may investigate suspected misuse and take reasonable action, including restricting features, suspending access, or terminating an account.

### 11. Fraud, tracking, attribution, and performance information

UpPromote provides tracking, attribution, fraud-prevention, analytics, and reporting tools that rely on technical signals, User-provided information, ecommerce systems, browsers, devices, and Third-Party Services.

UpPromote does not guarantee that every referral, transaction, commission, social interaction, view, engagement event, or other metric will always be detected, attributed, synchronized, or reported without error.

Accuracy may be affected by factors outside UpPromote's reasonable control, including:

* Browser or device settings;
* Ad blockers;
* Cookies or storage restrictions;
* Third-party API changes;
* Internet or platform outages;
* User configuration; or
* Fraudulent or unusual activity.

UpPromote may use technical and account signals to detect, investigate, or prevent fraud, abuse, and security incidents.

Where a referral, transaction, or commission results from fraudulent, artificial, or non-compliant activity, the relevant Merchant may reject or reverse it in accordance with the applicable program terms and law.

### 12. Fees, subscriptions, trials, and payments

Certain UpPromote Services are provided on a paid basis.

Applicable prices, billing periods, usage limits, performance-based charges, trial conditions, and plan features will be disclosed through the relevant pricing page, Shopify billing process, checkout flow, order form, or account interface.

Unless stated otherwise in the applicable purchase flow:

* Subscription charges may recur until cancelled;
* You are responsible for applicable taxes unless UpPromote expressly states otherwise;
* Fees are payable in the currency indicated in the applicable billing flow; and
* You are responsible for maintaining accurate payment and billing information.

Where a free trial is offered, its duration and billing consequences will be disclosed in the relevant purchase flow.

Not all UpPromote products or add-ons necessarily include the same free-trial terms.

Refund requests are handled in accordance with the applicable **UpPromote Refund Policies** and applicable law.

If required fees remain unpaid, UpPromote may restrict or suspend access to affected paid functionality.

### 13. Affiliate commissions and Merchant payments

Unless UpPromote expressly states otherwise for a particular payment service:

* The relevant Merchant determines commission rates, qualifying actions, approval requirements, holding periods, payout thresholds, and payment methods;
* The Merchant is responsible for approving eligible commissions;
* The Merchant is responsible for payment obligations arising under its own program terms; and
* UpPromote does not guarantee that a Merchant will approve or pay a particular commission.

UpPromote may provide technology that helps calculate, record, schedule, or facilitate payments.

Affiliates and Creators are responsible for tax obligations that apply to amounts they receive, subject to applicable law.

Where tax information or tax documents are required, Users agree to provide accurate information reasonably necessary for the applicable process.

### 14. Intellectual property

UpPromote and its licensors retain all right, title, and interest in the Services, excluding User Content and third-party intellectual property.

This includes, where applicable:

* Software;
* Interfaces;
* Documentation;
* Databases and database structure;
* APIs;
* Product design;
* Trademarks;
* Logos; and
* Other proprietary technology or materials.

Subject to these Terms, UpPromote grants you a limited, non-exclusive, non-transferable, revocable right to access and use the Services for their intended purposes.

You must not, except where permitted by applicable law:

* Copy or modify the Services for unauthorized purposes;
* Reverse engineer or attempt to derive source code;
* Remove proprietary notices; or
* Use UpPromote trademarks in a way that is misleading or implies endorsement without permission.

Third-party names and trademarks remain the property of their respective owners.

### 15. Feedback

If you voluntarily provide suggestions, ideas, or feedback about UpPromote, you authorize UpPromote to use that feedback to improve, develop, and operate its products and services without compensation or restriction.

This does not transfer ownership of your unrelated confidential information or personal data to UpPromote.

### 16. Suspension and termination

You may stop using UpPromote at any time.

Where account deletion or cancellation functionality is available, you may use those controls subject to applicable subscription, payment, retention, and legal requirements.

You may disconnect a supported social account independently from deleting your UpPromote account.

UpPromote may restrict, suspend, or terminate access where reasonably necessary, including where:

* You materially breach these Terms;
* Your use creates a material security or fraud risk;
* Your account is used unlawfully;
* Required fees remain unpaid;
* A competent authority requires UpPromote to take action;
* A Third-Party Service restricts access necessary to provide the relevant feature; or
* Continuing to provide the Service would create a material legal, security, or operational risk.

Where reasonably appropriate and legally permitted, UpPromote will provide notice or an opportunity to remedy a breach before termination.

Termination does not affect rights or obligations accrued before termination.

Personal data following termination will be handled in accordance with the UpPromote Privacy Policy, User Data Deletion & Social Account Disconnection Policy, and applicable law.

### 17. Service availability and third-party dependency

UpPromote aims to provide reliable Services but does not guarantee uninterrupted or error-free operation.

The Services may be affected by:

* Scheduled or emergency maintenance;
* Software updates;
* Infrastructure failures;
* Security incidents;
* Internet or telecommunications failures;
* Cloud or hosting provider failures;
* Third-Party Service outages or API changes;
* Government action;
* Natural disasters; or
* Other circumstances beyond UpPromote's reasonable control.

UpPromote will not be responsible for delay or failure to perform to the extent caused by circumstances beyond its reasonable control, except where applicable law provides otherwise.

### 18. Disclaimers

To the maximum extent permitted by applicable law, the Services are provided on an “as available” basis.

UpPromote does not guarantee:

* A particular commercial result;
* Increased sales or revenue;
* Affiliate or Creator earnings;
* Merchant acceptance;
* Creator acceptance;
* Successful collaborations;
* Continuous availability of a Third-Party Service;
* Availability of a particular social-platform metric;
* Complete or error-free third-party information; or
* That every User or third-party profile will be accurate, authentic, suitable, or trustworthy.

UpPromote does not provide legal, tax, accounting, investment, or other regulated professional advice through the ordinary operation of the Services.

Nothing in these Terms excludes warranties, protections, or rights that cannot lawfully be excluded.

### 19. Limitation of liability

To the maximum extent permitted by applicable law, UpPromote will not be liable for indirect, incidental, special, exemplary, punitive, or consequential damages, including loss of profit, revenue, goodwill, data, business opportunity, anticipated savings, or reputation, arising from or relating to the Services.

This limitation applies regardless of the legal theory on which a claim is based, including contract, tort, negligence, statutory duty, or otherwise, to the extent permitted by applicable law.

#### 19.1 Business Users using paid Services

For a business User using a paid Service, UpPromote's aggregate liability arising out of or relating to that Service will not exceed the total fees actually paid by that business User to UpPromote for the relevant Service during the **twelve months immediately preceding the event giving rise to the claim**.

#### 19.2 Users who do not pay fees directly to UpPromote

For an Affiliate, Creator, individual User, or other User who does not pay fees directly to UpPromote for the Service giving rise to the claim, **UpPromote's aggregate liability arising out of or relating to that Service will not exceed USD 100**.

This limitation does not affect any commission, payout, or other amount that a Merchant may independently owe an Affiliate or Creator under the Merchant's own program terms. UpPromote does not assume responsibility for those amounts solely because the relevant relationship, tracking, or records are managed through the Services.

#### 19.3 Third-party services and User relationships

To the maximum extent permitted by applicable law, UpPromote is not liable for losses arising solely from:

* A Merchant's failure or refusal to approve or pay a commission;
* An Affiliate's or Creator's failure to perform obligations agreed with a Merchant;
* Disputes between Merchants, Affiliates, or Creators;
* Inaccurate or misleading information independently provided by another User;
* Changes, restrictions, outages, errors, or discontinuation of a Third-Party Service;
* Social platform API changes or unavailable social-platform metrics; or
* Tracking or reporting limitations caused by browsers, devices, ad blockers, privacy settings, third-party platforms, or other circumstances outside UpPromote's reasonable control,

except to the extent the relevant loss was directly caused by UpPromote's own breach of these Terms or other liability that cannot lawfully be excluded.

#### 19.4 Mandatory rights

Nothing in these Terms limits or excludes liability:

* Where limitation or exclusion is prohibited by applicable law;
* For fraud or fraudulent misrepresentation by UpPromote;
* For willful misconduct where liability cannot lawfully be limited;
* For death or personal injury caused by negligence where applicable law prohibits limitation; or
* For any other liability or mandatory right that cannot lawfully be excluded or limited.

Nothing in this Section removes any mandatory protection or remedy available to an individual User under applicable law.

### 20. Indemnification

To the extent permitted by applicable law, a business User agrees to defend, indemnify, and hold harmless UpPromote and its officers, employees, and affiliates from third-party claims arising from:

* The business User's material breach of these Terms;
* Unlawful User Content;
* The business User's violation of third-party rights;
* The business User's unlawful operation of an affiliate, referral, influencer, or creator program; or
* The business User's misuse of a Third-Party Service through UpPromote.

This Section does not apply to the extent a claim results from UpPromote's own breach, negligence, willful misconduct, or other liability that cannot lawfully be excluded.

### 21. Changes to the Services and these Terms

UpPromote may update these Terms from time to time to reflect:

* Changes to the Services;
* New integrations or products;
* Changes to applicable law;
* Security requirements;
* Third-party platform requirements; or
* Changes to UpPromote's business practices.

The “Last updated” date will identify the most recent version.

Where a change materially affects Users' rights or obligations, UpPromote will provide reasonable notice where required by applicable law.

Where applicable law or the nature of a change requires affirmative consent, UpPromote will request that consent.

Continued use after updated Terms become effective may constitute acceptance where permitted by applicable law and after appropriate notice has been provided.

### 22. Governing law and disputes

These Terms are governed by the laws of **Vietnam**, without regard to conflict-of-law principles, except to the extent mandatory law applicable to a User provides otherwise.

Subject to mandatory rights and jurisdiction rules that cannot lawfully be waived, disputes arising out of or relating to these Terms or the Services will be submitted to the competent courts in **Hanoi, Vietnam**.

Nothing in this Section limits mandatory protections or remedies that a User may have under the laws of the User's place of residence or establishment where those protections cannot lawfully be waived.

### 23. Compliance with local law

UpPromote operates internationally.

Users are responsible for ensuring that their own use of the Services complies with laws applicable to them, including where relevant:

* Advertising and endorsement disclosure requirements;
* Consumer protection requirements;
* Privacy and data protection law;
* Email and electronic marketing rules;
* Tax requirements;
* Affiliate marketing requirements; and
* Laws relating to promotions, incentives, and payments.

UpPromote may restrict or modify particular Services in specific jurisdictions where reasonably necessary for legal or regulatory compliance.

### 24. No employment, agency, or partnership

Unless expressly agreed otherwise in writing, use of UpPromote does not create an employment relationship, partnership, joint venture, franchise, fiduciary relationship, or agency relationship between UpPromote and a Merchant, Affiliate, Creator, or other User.

UpPromote does not become a party to a Merchant–Affiliate or Merchant–Creator agreement solely because the relationship is managed through the Services.

### 25. Assignment

You may not assign these Terms or transfer your rights to use the Services in a manner that results in unauthorized access without UpPromote's prior consent, except where applicable law provides otherwise.

UpPromote may assign these Terms in connection with a merger, acquisition, corporate restructuring, transfer to an affiliate, sale of assets, or successor transaction, subject to applicable law.

### 26. Notices

UpPromote may provide notices relating to the Services or these Terms through:

* The Services;
* The email address associated with your account;
* The UpPromote website or documentation; or
* Another reasonable method appropriate to the relevant notice.

You are responsible for keeping account contact information reasonably current.

### 27. Severability

If any provision of these Terms is held invalid or unenforceable, that provision will be interpreted or limited to the minimum extent necessary to make it enforceable where permitted by law.

The remaining provisions will continue in effect.

### 28. No waiver

If UpPromote does not immediately enforce a provision of these Terms, this does not waive UpPromote's right to enforce that provision or another provision later.

### 29. Entire agreement and order of precedence

These Terms, together with applicable Supplemental Terms, the UpPromote Privacy Policy, applicable Data Processing Agreements, order forms, subscription agreements, and other agreements expressly incorporated into the relevant arrangement, constitute the agreement governing the applicable Services.

Where an individually executed agreement between UpPromote and a User expressly conflicts with these Terms, the individually executed agreement will control to the extent of that conflict.

Where Supplemental Terms expressly conflict with these Terms, the Supplemental Terms control only with respect to the product, feature, or service governed by those Supplemental Terms.

Nothing in this Section is intended to retroactively alter the legal effect of a separately accepted agreement except where the parties validly agree to do so.
