UpPromote Marketplace Terms & Conditions for Merchants

Welcome to UpPromote Marketplace! By listing offers on our platform and utilizing our affiliate marketing services, you accept and agree to abide by the following Terms and Conditions. These provisions govern your association with UpPromote Marketplace, the affiliates who promote your offerings, and the platform itself.
Definitions
Merchant: An entity, brand, or store operating on Shopify that sells goods or services and engages UpPromote’s affiliate marketing tracking services.
Affiliate: An individual or entity participating in UpPromote Marketplace with the objective of promoting merchants’ offerings in exchange for commission-based compensation.
Offer: A specific affiliate marketing program or proposal initiated by the merchant and made available on the UpPromote Marketplace.
Eligibility Requirements for Merchants
Merchants must possess an active Shopify store and utilize UpPromote as their designated affiliate marketing tracking tool.
Merchants are obligated to adhere to Shopify’s Terms of Service when listing offers in UpPromote Marketplace.
By listing offers, merchants aim to attract affiliates who will promote their offerings under mutually agreed terms of commission.
Merchant-Affiliate Relationship
The relationship between merchants and affiliates is characterized by mutual rights and obligations; neither party possesses superior authority over the other.
Merchants are prohibited from arbitrarily removing affiliates from their programs. In the event of a dispute, UpPromote’s mediation services may be invoked.
Affiliates are responsible for promoting merchants’ offerings in an ethical manner and in full compliance with all applicable legal and regulatory requirements.
Obligations Concerning Payments
Merchants are bound to fulfill all commission payments to affiliates as stipulated in the terms of each offer.
The selected payment method must be specified prior to listing any offer on UpPromote Marketplace.
Commissions are to be paid punctually, adhering strictly to the conditions set forth in the offer. Any failure to pay or unjustified delays constitute a breach of this agreement.
Marketplace Integrity and Compliance
UpPromote retains the right to remove a merchant’s offer from the marketplace in cases of:
Breach of these Terms and Conditions.
Verified evidence indicating a failure to compensate affiliates.
Suspected or confirmed fraudulent or deceptive behavior.
Repeated infractions, which may result in a permanent suspension from the platform.
Prohibited Conduct
Merchants are expressly forbidden from engaging in any activity that might undermine the affiliate relationship, including but not limited to:
Engaging in deceptive practices.
Misrepresenting the terms, conditions, or quality of the offer or product.
Attempting to manipulate or bypass UpPromote’s tracking solution.
Interfering with the UpPromote system without formal approval from the UpPromote team.
Termination of Service
UpPromote reserves the right to suspend or terminate a merchant’s account at its discretion if the merchant is found in violation of these terms or poses a risk to the overall integrity of the marketplace.
Amendments to the Terms
UpPromote may modify these Terms and Conditions at any time, with notification provided to merchants regarding any substantive changes. Continued use of the platform signifies the merchant’s acceptance of the updated terms.
Acknowledgment By using UpPromote Marketplace, merchants confirm their understanding and acceptance of these Terms and Conditions, thereby agreeing to uphold the integrity, fairness, and ethical standards that guide the UpPromote community.
