Welcome to UpPromote! By joining the UpPromote Marketplace, you (“Affiliate”) agree to abide by the following Terms & Conditions. If you disagree with these terms, you must not join or use the UpPromote Marketplace.

2. Definitions

Platform: The UpPromote website and services.

Merchant: A business that lists offers on the UpPromote platform.

Affiliate: An individual or entity that joins the UpPromote platform to promote merchant offers.

Promotion Kit: Marketing materials provided by the merchant for use by affiliates.

3. Eligibility

To join UpPromote Marketplace, you must:

• Be at least 18 years old.

• Provide accurate and complete registration information.

• Agree to comply with all applicable laws and regulations.

4. Affiliate Responsibilities

4.1 Compliance

Affiliates must:

• Adhere to all applicable laws, regulations, and UpPromote policies.

• Avoid any form of deceptive, fraudulent, or misleading practices.

• Use the provided promotion kits responsibly and as intended by the merchants.

4.2 Content and Promotion

Affiliates are responsible for:

• Ensuring that their promotional content is accurate, truthful, and not misleading.

• Avoiding the use of prohibited content, such as obscene, violent, or discriminatory -material.

• Respecting intellectual property rights and not infringing on third-party rights.

4.3 Prohibited Activities

Affiliates must not:

• Engage in spamming or unsolicited email marketing.

• Use adware, spyware, or other malicious software.

• Make false claims about the products or services they are promoting.

5. Relationship with Merchants

5.1 Independent Contractors:

Affiliates and merchants are independent contractors. Nothing in these Terms & Conditions creates any partnership, joint venture, agency, franchise, sales representative, or employment relationship between the parties.

5.2 Direct Payment:

Affiliates understand and agree that all commissions earned from promoting merchants are paid directly by the merchants. UpPromote has no responsibility or involvement in the payment process.

6. Use of UpPromote Marketplace

6.1 Account Registration:

To participate in the UpPromote Marketplace, affiliates must create an account and provide accurate and complete information during the registration process.

6.2 Account Security:

Affiliates are responsible for maintaining the security and confidentiality of their account login information. Affiliates must promptly notify UpPromote of any unauthorized use of their account.

6.3 Platform Integrity:

Affiliates must not engage in any activity that interferes with or disrupts the UpPromote Marketplace, servers, or networks connected to the platform.

7. Termination

7.1 Termination by Affiliate:

Affiliates may terminate their participation in the UpPromote Marketplace at any time by contacting UpPromote support to close the account.

7.2 Termination by UpPromote:

UpPromote reserves the right to terminate an affiliate’s participation in the marketplace at any time for any reason, including but not limited to violation of these Terms & Conditions.

8. Limitation of Liability

8.1 No Warranty:

UpPromote provides the marketplace on an “as is” and “as available” basis. UpPromote makes no warranties or representations regarding the availability, reliability, or accuracy of the marketplace or the services merchants provide.

8.2 Liability Limitation:

UpPromote shall not be liable for any indirect, incidental, special, consequential, or punitive damages, or any loss of profits or revenues, whether incurred directly or indirectly, or any loss of data, use, goodwill, or other intangible losses, resulting from (a) the use or inability to use the marketplace; (b) any conduct or content of any third party on the marketplace; (c) any content obtained from the marketplace; and (d) unauthorized access, use, or alteration of your transmissions or content.

9. Modifications to Terms & Conditions

UpPromote reserves the right to modify these Terms & Conditions at any time. Affiliates will be notified of any changes, and continued use of the UpPromote Marketplace constitutes acceptance of the modified terms.

10. Governing Law

These Terms & Conditions shall be governed by and construed in accordance with the laws of the jurisdiction in which UpPromote operates, without regard to its conflict of law principles.
